End User License Agreement

Effective Date: March 24, 2026 Application Name: ATA Opportunities Company: ATA Architects Inc.

1. Acceptance of Terms

By accessing or using the “ATA Opportunities” internal application (the “App”), you agree to be bound by these internal corporate Terms of Service (the “Terms”). The App is exclusively for use by authorized personnel of ATA Architects Inc.

2. License Grant

ATA Architects Inc. grants you a revocable, non-exclusive, non-transferable, limited license to access and use the App strictly in accordance with these Terms and your employment or contractor agreement with the company.

3. Account Security and Microsoft Entra ID

Access to the App is strictly controlled via your Microsoft Entra ID (Azure AD) corporate credentials. You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account. You must not share your account access, multi-factor authentication (MFA) tokens, or underlying system access with any unauthorized internal or external third parties.

4. Acceptable Use

The App is designed to facilitate internal operations, including tracking opportunities, managing proposals, assigning rosters, and reading data synchronized from Intuit QuickBooks Online. You agree NOT to:

1. Use the App for any illegal purpose or in violation of any local, state, national, or international law.
2. Attempt to bypass or circumvent the App’s security measures, Role-Based Access Controls (RBAC), or underlying databases.
3. Export, download, or otherwise exfiltrate sensitive company financial data, customer data, or proprietary proposal data outside of approved corporate systems.
4. Use the App to distribute malware, spam, or engage in any form of cyber-attack against the company infrastructure or Intuit’s API endpoints.

5. QuickBooks Online Integration (Intuit Data)

The App securely integrates with Intuit QuickBooks Online via a read-only architecture to retrieve invoice and customer data for internal dashboards.

• No Third-Party Distribution: The financial data presented in the App is the sole property of ATA Architects Inc. and must not be distributed outside the organization.
• Compliance: You agree to handle all financial data in compliance with ATA Architects Inc.’s internal accounting and confidentiality policies.

6. Audit Logging and Monitoring

To ensure security, operational integrity, and compliance, all modifying actions within the App (such as editing proposals, rosters, or adding checklists) are permanently recorded in an Audit Log. By using the App, you acknowledge that your actions, IP address, and identification are actively monitored and recorded by the system administration team.

7. Intellectual Property

The App, including its original source code, custom React components, automated scrapers, and underlying data structures, is the exclusive intellectual property of ATA Architects Inc. You may not copy, modify, distribute, sell, or lease any part of the software.

8. Termination of Access

ATA Architects Inc. reserves the right to suspend or terminate your access to the App at any time, with or without cause, including upon termination of employment or suspected violation of these Terms or overarching corporate IT policies.

9. Disclaimer of Warranties

The App is provided “AS IS” and “AS AVAILABLE” for internal business purposes. While we strive for maximum uptime and secure real-time WebSocket syncing, ATA Architects Inc. does not guarantee the App will be uninterrupted, error-free, or entirely secure from internal or external disruptions.
